Clear Street launches pre-IPO platform, lists AI giant Databricks

Clear Street, a startup focused on prime brokerage, is shifting its strategy to offer investors access to prominent private companies, starting with Databricks, valued at $188 billion. This initiative comes after the firm postponed its initial public offering (IPO) plans. Clear Street aims to enable accredited investors to invest in late-stage private companies, addressing a growing desire among retail and smaller investors to tap into wealth creation often happening before companies go public.

CEO Uri Cohen emphasized the importance of lowering barriers for investors interested in high-growth tech sectors. As an increasing number of startups choose to remain private longer, the demand for direct investments in firms like Databricks and others, such as Anthropic and OpenAI, is rising. Similarly, Goldman Sachs has introduced a platform catering to wealthy clients seeking stakes in these ventures.

However, the mechanics of Clear Street’s offerings have raised questions. Rather than buying shares directly from Databricks, investors will acquire interests in a special purpose vehicle (SPV) that holds stakes in a fund owning the shares. Databricks remains uninvolved in these transactions, with a spokesperson noting a lack of engagement with Clear Street.

Looking ahead, Clear Street plans to host around 30 startups on its platform by the end of the year, focusing on companies within the $5 billion to $20 billion valuation range. To enhance transparency, the company will also launch a dedicated equity research segment for private companies. Despite pausing its IPO, Clear Street continues to remain cash-flow positive and recently secured a $400 million bond offering to support its growth.
